End-User License Agreement (EULA) — Media Inspector

This End-User License Agreement (“Agreement”) is between Laux Software Development (“Licensor,” “we,” “us,” or “our”) and you (“Licensee” or “you”).

1) Overview

Media Inspector is a commercial WordPress plugin offered under a GPL-compatible software license for the plugin code, together with commercial terms governing paid access to support, updates, activation, and license entitlements.

This Agreement governs your purchase and use of the paid version of Media Inspector, including license key usage, update access, support, and related services.

2) License grant

Subject to payment and compliance with this Agreement, Licensor grants you a limited, non-exclusive, revocable license to access and use the paid services associated with Media Inspector, including software updates, support, and license-key activation, in accordance with the plan you purchased.

The Media Inspector plugin code itself is licensed under the applicable GPL-compatible license included with the Software. Nothing in this Agreement is intended to limit rights granted under that license with respect to the plugin code itself.

3) License scope and plans

Your license purchase determines the number of permitted Seats associated with your plan.

For Media Inspector, a Seat means one activated WordPress website installation using a valid license entitlement.

Available plans may include:

  • 1–5 Sites
  • 6–20 Sites
  • 25 Sites
  • 1,000 Sites

You may activate the Software only up to the number of Seats included in your purchased plan.

A license key may not be used beyond the number of permitted activations included with your plan unless you upgrade your license.

Reasonable backup and staging use may be permitted where technically supported, provided such use does not abuse or circumvent plan limits.

4) Restrictions

You may not:

(a) use a paid license key beyond its purchased Seat limit;
(b) share, resell, lease, sublicense, or transfer access to paid updates, support, or license entitlements except where expressly permitted by Licensor;
(c) circumvent or attempt to circumvent license verification, activation controls, Seat limits, or update access restrictions;
(d) remove proprietary notices from non-code materials, branding, documentation, or other protected assets to the extent not governed by the GPL;
(e) use the Software or related services in a manner that violates applicable law or infringes the rights of others.

For clarity, this Agreement does not restrict rights granted under the applicable GPL license for portions of the Software governed by that license.

5) Ownership

The Software includes open-source and proprietary elements.

As between you and Licensor, Licensor and its licensors retain all right, title, and interest in and to the Media Inspector brand, trademarks, website content, documentation, licensing systems, support materials, and any non-GPL assets, subject to applicable law and third-party rights.

Open-source portions of the Software are licensed, not sold, under their respective licenses.

6) Activation, validation, and updates

Activation may require internet connectivity to verify your license key, activation status, Seat availability, renewal status, and eligibility for updates or support.

Media Inspector may periodically check license validity and update eligibility.

During an active license term, you may receive updates, patches, and new versions made available under your plan. If your license expires, update access and support access may be suspended or limited in accordance with your plan terms.

Updates, patches, or new versions provided by Licensor are governed by this Agreement unless accompanied by a different agreement.

7) Open-source and third-party components

Media Inspector may include third-party or open-source components subject to their own licenses.

Those licenses apply to the relevant components and control to the extent required by law or by the applicable open-source license.

8) User submissions

If you submit content to Licensor, including support messages, bug reports, screenshots, attachments, logs, or diagnostic information, you grant Licensor a worldwide, non-exclusive license to use that content solely to provide support, maintain the Software, and improve Media Inspector.

You retain ownership of your own content.

9) Support

If included with your plan, Licensor will provide reasonable support for Media Inspector during the active license period.

Support is limited to the supported scope of the product as described on our website and does not include custom development, third-party plugin compatibility work beyond our stated support policy, or general website administration unless expressly stated otherwise.

Support requests may be submitted via [your support email or support portal].

10) Term and termination

This Agreement takes effect when you purchase, download, activate, or use Media Inspector and continues until terminated.

Licensor may suspend or terminate access to paid services, including support, updates, or license activation, if you materially breach this Agreement, including by exceeding Seat limits, abusing support, or attempting to circumvent licensing controls.

Upon termination of paid access, you must stop using the paid services associated with the license key. Termination of this Agreement does not negate rights you may have under the GPL with respect to GPL-licensed code already received by you.

Sections 5 and 7 through 17 survive termination.

11) Warranty disclaimer

THE SOFTWARE AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY WORDPRESS ENVIRONMENT, THEME, PLUGIN, HOSTING STACK, OR SERVER CONFIGURATION.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you to the extent prohibited by law.

12) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT.

LICENSOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE APPLICABLE LICENSE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13) Indemnity

You agree to indemnify and hold Licensor harmless from third-party claims, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising out of your misuse of the Software, your violation of this Agreement, or your violation of applicable law.

14) Export and sanctions

You agree to comply with all applicable export control, sanctions, and trade laws and not to use, export, or re-export the Software where prohibited by law.

15) Government users

If acquired by or on behalf of the U.S. Government, the Software is commercial computer software and is licensed with only those rights set forth in this Agreement, consistent with applicable regulations including FAR 12.212 and DFARS 227.7202.

16) Governing law

This Agreement is governed by the laws of the State of California, U.S.A., excluding its conflict-of-law rules.

The courts located in Los Angeles County, California shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement, except where applicable consumer law provides otherwise.

17) Entire agreement; changes

This Agreement constitutes the entire agreement between you and Licensor regarding the paid commercial terms for Media Inspector.

We may update this Agreement from time to time to reflect new features, legal requirements, or business practices. The latest version will be posted on our website. Continued use of the Software or related paid services after an updated Agreement becomes effective constitutes acceptance of the revised Agreement.

18) Privacy and data

Use of the Software and related website or licensing services is also subject to the Media Inspector Privacy Policy available at:
